1. Introduction
These Terms & Conditions ("Terms") govern your purchase, license, and use of the Control Room Team Training eLearning course (designed to address PHMSA requirements under 49 CFR 192.631 and 195.446), SCORM packages, tabletop exercises, and related content ("Materials") from Sweetwater Training Group, LLC ("we," "us," or "our"). By purchasing, accessing, or using our Materials, you agree to be bound by these Terms.
2. License Grant & Usage Limits
2.1 License Scope
Upon full payment, we grant you a limited, non-exclusive, non-transferable license to use the Control Room Team Training Materials for:

The specific number of learners you licensed, and

The license term you selected (e.g., 1 year, 3 years, or 5 years).
2.2 Prohibited Uses
You may not:

Use the Materials beyond your licensed learner count or term.

Distribute or share Materials outside your licensed group.

Share login credentials or account access with unauthorized users.

Modify, reverse engineer, reproduce, or create derivative works without written permission.

Record, screenshot, or capture course content for any purpose.
3. Contract Expiration, Auto-Renewal & Post-Term Use
3.1 Auto-Renewal
Your license will automatically renew for the same learner count and term unless you provide written cancellation at least 30 days before renewal. Renewal fees will be billed at our current rates unless otherwise agreed.
3.2 If You Cancel
If you cancel, you must remove all Materials from your LMS, servers, and storage at the end of your license term. Continued use after expiration constitutes copyright infringement and breach of contract.
3.3 Post-Term Violations
Unauthorized use beyond your license or term is a material breach. You agree to pay additional fees at current rates plus a 25% administrative fee or liquidated damages equal to twice your annual contract value, whichever is greater. This does not limit other legal remedies.
4. Compliance Responsibility
We strive to align Materials with regulations, including 49 CFR 192.631 & 195.446. However, it is your responsibility to ensure the Materials meet your specific compliance requirements. We do not guarantee full compliance in every situation and are not liable for penalties or losses resulting from use.
5. Payment Terms
Full payment is required before delivery unless otherwise agreed. Late or unpaid fees may result in suspension or termination of your license.
6. Intellectual Property
All Materials are the property of Sweetwater Training Group, LLC and protected by law. Your license grants use only; ownership remains with us.
7. Delivery
Materials are delivered digitally via email or download link. No physical products will be shipped.
8. Warranty Disclaimer & Liability Limit
8.1 Training Effectiveness Disclaimer
Materials are provided "as is" without warranty. We disclaim all warranties including fitness for purpose, compliance assurance, and performance outcomes.

8.2 Maximum Liability
Our liability is limited to the amount paid for your current license term, to the fullest extent allowed by law.
9. Governing Law
These Terms are governed by the laws of Florida, without regard to conflict of law principles.
10. Changes to Terms
We may update these Terms at any time. The current version will always be posted on our website. Continued use after updates means you accept the new Terms.
By purchasing or using our Materials, you acknowledge you have read, understood, and agreed to these Terms & Conditions.
